Welcome to i-quote. These Terms and Conditions govern your use of the i-quote platform and all related services. Please read them carefully before using our Service.

1. Acceptance of Terms

By accessing or using i-quote (the "Service"), available at i-quote.app and its subdomains, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including business owners ("Tenants"), their team members ("Users"), and their clients who access the customer portal ("End Customers").

By creating an account, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

2. Description of Service

i-quote is a multi-tenant, white-label invoicing and quote management platform that allows businesses to:

•Create, send, and manage professional invoices and quotes

•Accept online payments through Stripe Connect

•Manage customer relationships and records

•Generate branded PDFs of invoices and quotes

•Set up recurring invoices and automated reminders

•Access reports and analytics on business performance

•Operate under a branded subdomain ({your-business}.i-quote.app)

•Invite team members with role-based access controls

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information including your business name, email address, and a unique subdomain slug.

You are responsible for:

•Maintaining the confidentiality of your login credentials

•All activities that occur under your account

•Notifying us immediately of any unauthorized use of your account

•Ensuring that all information you provide is accurate and up to date

We reserve the right to suspend or terminate accounts that provide false or misleading information, or that violate these Terms.

4. Subscription Plans & Billing

i-quote offers three subscription tiers:

Free Plan ($0/month): Up to 3 combined invoices and quotes per month, 1 user, all core features included.

Starter Plan ($9.99/month): Up to 25 combined invoices and quotes per month, 1 user, all features, priority support.

Pro Plan ($24.99/month): Unlimited invoices and quotes, up to 3 users (additional users at $4.99/month each), all features, priority support.

•Subscription fees are billed monthly in advance via Stripe.

•Monthly invoice/quote limits reset on the 1st of each month.

•You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.

•Refunds are not provided for partial months or unused portions of a subscription.

•If payment fails, your account may be placed in a "past due" or "locked" status, restricting access to certain features.

5. Payment Processing

i-quote uses Stripe Connect to facilitate payment processing between Tenants and their End Customers.

•When an End Customer pays an invoice, the payment is processed by Stripe and deposited directly into the Tenant's connected Stripe account.

•A platform fee of 2% is automatically deducted from each payment as our service fee.

•Stripe's standard processing fees also apply (see Stripe's pricing at stripe.com/pricing).

•i-quote does not store credit card numbers or sensitive payment data. All payment processing is handled securely by Stripe, which is PCI-DSS Level 1 compliant.

•By using Stripe Connect, you agree to Stripe's Terms of Service and Connected Account Agreement.

6. Multi-Tenancy & Data Isolation

Each business account (Tenant) operates in a completely isolated environment:

•Your data (customers, invoices, quotes, payments) is separated from all other tenants using row-level security.

•No tenant can access another tenant's data under any circumstances.

•Your branded subdomain ({slug}.i-quote.app) is exclusively yours for as long as your account is active.

•Upon account deletion, your subdomain slug may become available for registration by other users after a 90-day retention period.

7. User Roles & Access

Tenants can invite team members with the following roles:

•Owner:: Full access to all features including billing, team management, and account settings. The account creator is automatically assigned as Owner.

•Admin:: Can create, edit, and manage invoices, quotes, customers, and view reports. Cannot modify billing or team settings.

•Viewer:: Read-only access to invoices, quotes, customers, and reports.

The Tenant Owner is responsible for the actions of all users they invite to their account.

8. Acceptable Use

You agree not to use the Service to:

•Send fraudulent invoices or quotes

•Engage in illegal activities or facilitate money laundering

•Distribute malware, spam, or harmful content

•Attempt to access other tenants' data or circumvent security measures

•Impersonate another person or business

•Use the Service in any way that could damage, disable, or impair our infrastructure

•Scrape, crawl, or use automated means to access the Service without permission

•Violate any applicable local, state, national, or international law

We reserve the right to suspend or terminate accounts that violate these terms without notice.

9. Intellectual Property

Our Property: The i-quote platform, including its design, code, features, documentation, and branding, is owned by i-quote and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform.

Your Content: You retain ownership of all content you create on i-quote, including invoices, quotes, customer data, and business information. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service.

Feedback: If you provide suggestions, feedback, or ideas about the Service, we may use them without obligation to compensate you.

10. Limitation of Liability

To the maximum extent permitted by law:

•i-quote is provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

•We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

•Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

•We are not responsible for payment disputes between Tenants and their End Customers.

•We are not liable for service interruptions caused by third-party providers (Stripe, hosting providers, email services).

11. Indemnification

You agree to indemnify and hold harmless i-quote, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

•Your use of the Service

•Your violation of these Terms

•Your violation of any applicable law or regulation

•Any content you create or transmit through the Service

•Any dispute between you and your End Customers

12. Termination

You may cancel your account at any time through your account settings or by contacting us at support@i-quote.app.

Upon termination:

•Your access to the Service will be revoked immediately.

•Your data will be retained for 90 days for potential reactivation.

•After 90 days, all data will be permanently deleted.

•Any outstanding balance will remain due and payable.

We may suspend or terminate your account at any time if you violate these Terms, with or without notice.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1.**Informal Resolution:** Contact us at support@i-quote.app to attempt to resolve the dispute informally within 30 days.

2.**Mediation:** If informal resolution fails, the parties agree to attempt mediation before pursuing other remedies.

3.**Governing Law:** These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

4.**Jurisdiction:** Any legal proceedings shall be brought exclusively in the courts of the State of Delaware.

14. Changes to Terms

We may update these Terms from time to time. When we make changes:

•The updated Terms will be posted on this page with a new "Last Updated" date.

•For material changes, we will notify you via email at least 30 days before the changes take effect.

•Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

•If you disagree with the changes, you may cancel your account before the new Terms take effect.
